These Broker Terms and Conditions ("Terms") govern your access to and use of the Broker module within the Broker Enquiry website, web application, software, and related services (collectively, the "Services"), used to onboard, manage, and track independent brokers, channel partners, and their referrals.
Broker Enquiry is operated by Broadsy Technologies Pvt. Ltd. ("Broker Enquiry", "we", "us", or "our").
By accessing, registering for, or using the Broker module, you agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Broker module.
The Broker module is a feature of the Broker Enquiry platform designed to help real estate businesses, builders, developers, and sales teams onboard and manage independent brokers, channel partners, and their referred leads.
Depending on the features available under your plan, the Broker module may include:
Broker onboarding and profile management
Broker KYC and document storage
Lead and referral tracking by broker
Follow-up and site visit tracking for broker-referred leads
Commission structure setup and tracking
Broker performance reports
Broker-level user and role management
Third-party and communication integrations
We may add, modify, suspend, or discontinue features from time to time.
Brokers onboarded or managed through this module are independent third parties engaged by the business using the platform. They are not employees, agents, partners, or representatives of Broadsy Technologies Pvt. Ltd.
Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Broadsy Technologies Pvt. Ltd. and any broker.
The business using the platform is solely responsible for its relationship, agreements, and dealings with each broker, including verifying the broker's identity, licensing, and RERA registration where applicable.
You must provide accurate, complete, and current information when creating or maintaining broker accounts or profiles.
You are responsible for:
Maintaining the confidentiality of login credentials for broker accounts
Restricting unauthorized access to broker accounts
All activities performed through broker accounts
Ensuring that broker information provided is accurate and lawful
You must notify us promptly if you believe a broker account or login credentials have been accessed or used without authorization.
We reserve the right to suspend or terminate broker accounts that contain false information, are used fraudulently, or violate these Terms.
Access to the Broker module may require a paid subscription or a separately agreed commercial arrangement.
Your access may depend on your selected subscription plan, applicable payment status, broker/user limits, feature limits, storage limits, and any additional terms agreed between you and Broker Enquiry.
We may change our plans, features, pricing, or subscription structure from time to time. Changes to existing paid subscriptions will be communicated where required or appropriate.
Where applicable, you agree to pay all fees associated with your selected subscription for the Broker module.
Unless otherwise agreed in writing:
Fees must be paid according to the applicable invoice or payment terms.
All applicable taxes, duties, or government charges are your responsibility.
Subscription fees may be non-refundable except where required by applicable law or expressly agreed by us.
Failure to make payment may result in suspension or termination of access to the Broker module.
Fees paid to Broker Enquiry for the platform subscription are separate from, and unrelated to, any broker commission you owe to a broker.
You may enter, upload, import, store, or otherwise process information through the Broker module, including broker profiles, KYC documents, licensing details, referred leads, and commission records ("Broker Data").
You retain responsibility for Broker Data that you or your brokers provide or process through the module.
You represent and warrant that:
You have the necessary rights and authority to use and process the Broker Data.
You have obtained all necessary notices, permissions, and consents required by applicable law, including from the brokers themselves.
Your use of Broker Data complies with applicable privacy, data protection, and other laws.
Broker Data does not infringe the rights of any third party and does not contain unlawful, fraudulent, or prohibited content.
Broker Enquiry does not independently verify the accuracy, legality, ownership, or completeness of Broker Data, including licensing or RERA registration claims.
As between you and Broker Enquiry, you retain your rights in the Broker Data that you submit to the platform.
You grant us the limited right to host, store, process, transmit, back up, and otherwise use Broker Data solely as reasonably necessary to provide, maintain, secure, improve, and support the Broker module.
We may use aggregated, anonymized, or de-identified information that does not reasonably identify you, your business, or an individual broker for analytics, security, product improvement, and business purposes, subject to applicable law.
Any commission structure, rate, or payout schedule recorded within the Broker module reflects data entered by you and/or the broker, and is provided for tracking and record-keeping purposes only.
Broker Enquiry does not process, hold, or disburse commission payments on behalf of any business or broker, and is not a party to any commission or referral agreement between you and a broker.
You are solely responsible for calculating, approving, and paying broker commissions in accordance with your own agreements with each broker.
Any dispute relating to commission amounts, payout timing, or non-payment is solely between you and the relevant broker.
You agree not to use the Broker module to:
Violate any applicable law or regulation
Infringe intellectual property, privacy, or other rights
Upload malicious code, viruses, or harmful software
Attempt unauthorized access to accounts, systems, or data
Interfere with the security or operation of the Services
Use the platform for fraudulent or deceptive activities, including misrepresenting a broker's licensing status
Send unlawful, unsolicited, or unauthorized communications to broker-referred leads
Collect or process personal information without appropriate authority
Impersonate a broker, business, or organization
Reverse engineer, copy, modify, or create derivative works from the Services except where permitted by applicable law
Resell, rent, lease, or provide unauthorized access to the Services
We may investigate suspected violations and suspend or terminate access where reasonably necessary.
The Broker module may allow integrations with third-party platforms, services, applications, APIs, communication tools, or payment providers.
Your use of third-party integrations is subject to the applicable third party's terms, policies, permissions, and technical requirements.
We are not responsible for the availability, operation, or changes made by third-party services, third-party outages or failures, loss of data caused by third-party systems, or the accuracy of data received from third parties.
We may modify or discontinue an integration where a third-party provider changes its service, API, permissions, or other requirements.
Where communication features or integrations are available, you are responsible for ensuring that all messages, communications, and campaigns sent to leads referred by a broker comply with applicable laws and regulations.
You are responsible for obtaining any necessary consent or permission before sending marketing, promotional, automated, or other regulated communications to such leads.
Broker Enquiry is not responsible for messages, content, or communications created or sent by you, your team, or your brokers through the Services.
You may be able to create or manage accounts for brokers, sales staff, or other authorized users within the Broker module.
You are responsible for managing access permissions appropriately, adding only authorized users, removing access when no longer required, monitoring activities performed under your account, and ensuring your users and brokers comply with these Terms.
You are responsible for activities performed by brokers and authorized users associated with your account.
The Broker Enquiry platform, including its software, design, branding, content, features, interfaces, documentation, trademarks, and other intellectual property, is owned by or licensed to Broadsy Technologies Pvt. Ltd. and is protected by applicable intellectual property laws.
Subject to your compliance with these Terms and applicable payment obligations, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Broker module for your internal business purposes during the applicable subscription period.
These Terms do not transfer ownership of any Broker Enquiry intellectual property to you.
If we provide custom development, implementation, integrations, modifications, or other professional services relating to the Broker module, the scope, timeline, fees, deliverables, and ownership terms may be governed by a separate proposal, quotation, statement of work, or written agreement.
Where a separate written agreement applies, its terms will govern the applicable services to the extent of any conflict with these Terms.
We aim to provide a reliable and secure Broker module. However, we do not guarantee that it will always be available, uninterrupted, error-free, or free from all security risks.
The module may be temporarily unavailable due to scheduled or emergency maintenance, software updates, infrastructure failures, internet or network issues, third-party service failures, or events beyond our reasonable control.
While we may implement reasonable data backup and recovery practices, you are encouraged to maintain appropriate backups of broker records, commission data, and related documents where necessary.
You are responsible for maintaining copies of information required for your legal, business, accounting, or operational purposes.
We may suspend or terminate your access to the Broker module if you violate these Terms, required payments remain overdue, your use creates a security risk, your use may harm our systems or other users, we are required to do so by law, or we reasonably suspect fraudulent or unauthorized activity.
You may stop using the Broker module subject to your applicable subscription, payment, or contractual obligations.
Upon termination or expiry, your access to the Broker module may end. Broker Data may be retained or deleted in accordance with our applicable data retention practices, agreements, and legal obligations.
You are encouraged to request or export broker and commission data before the end of your access period where applicable.
The Broker module is provided on an "as is" and "as available" basis, except to the extent otherwise expressly agreed in writing.
To the maximum extent permitted by applicable law, we do not guarantee that the Broker module will meet every specific business requirement, be uninterrupted or error-free, ensure successful broker referral outcomes or commission payouts, or that third-party integrations will remain continuously available.
You are responsible for determining whether the Broker module is suitable for your particular business requirements.
To the maximum extent permitted by applicable law, Broker Enquiry and Broadsy Technologies Pvt. Ltd. will not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data arising from or related to your use of the Broker module, your relationship with any broker, or any commission dispute.
Where liability cannot legally be excluded, our liability will be limited to the maximum extent permitted by applicable law.
Nothing in these Terms is intended to exclude or limit liability where such exclusion or limitation is prohibited by applicable law.
You agree to defend, indemnify, and hold harmless Broker Enquiry, Broadsy Technologies Pvt. Ltd., and their respective directors, employees, and representatives from claims, damages, liabilities, costs, and expenses arising from your use of the Broker module in violation of these Terms, your Broker Data, your relationship or agreement with any broker, your violation of applicable law, your infringement of third-party rights, or unauthorized or unlawful communications sent through your account.
We may modify the Broker module and these Terms from time to time.
When we update these Terms, we will revise the "Last Updated" date. Where required by applicable law, we will provide additional notice of material changes.
Your continued use of the Broker module after the effective date of updated Terms constitutes acceptance of the updated Terms, to the extent permitted by applicable law.
These Terms shall be governed by and interpreted in accordance with the laws of Ahmedabad, Gujarat, India, unless otherwise required by applicable law or agreed in a separate written agreement.
Subject to applicable law, the courts having jurisdiction over the registered office of Broadsy Technologies Pvt. Ltd. shall have jurisdiction over disputes arising from these Terms or the Broker module.
